Book SynopsisThis book focuses on an emerging problem in English contract law: what should be done when a party has been unjustly enriched as the result of a breach of contract but there is no measurable loss suffered by said party? Two rulings are at the heart of the book: Wrotham Park Estate v Parkside Homes and Attorney-General v Blake. These two cases can be said to have established gain-based remedies in English contract law. However, the principles that underpin these remedies are not entirely clear and are subject to debate.This book analyses these principles through the lens of compensatory and restitutionary approaches. Moreover, it applies a comparative analysis of these approaches through the lens of the civil law jurisdiction in Poland.Since the term ‘compensation’ is not a universal concept, the book distinguishes between two rationales in the compensatory analysis. The first, reparative compensation, is defined as a form of monetary recompense for loss or damage actually suffered. The second, substitutive compensation, represents a monetary equivalent to a right that a person has been deprived of or denied. Both rationales require the application of a broad notion of loss in order to make gain-based remedies workable in both English and Polish law.In contrast, ‘restitution’ states that a person cannot be permitted to profit from their own wrongdoing. Based on this principle, the book argues that gain-based remedies could be applied under Polish law through the rules of unjust enrichment. However, in order to do so, a broader understanding of the subtraction prerequisite (the enrichment being at the aggrieved party’s expense) would have to be adopted. Book SynopsisKinder haben nicht selten zwei Vaterfiguren: Einen rechtlichen und sozialen Vater einerseits und einen leiblichen, aber nicht rechtlichen Vater andererseits. Der Gesetzgeber hat im Anschluss an zwei Entscheidungen des EGMR dem leiblichen, nicht rechtlichen Vater ein Umgangs- und Auskunftsrecht eingeräumt (§ 1686a BGB). Diese Regelung ist jedoch inhaltlich unausgewogen und verfassungsrechtlich zumindest bedenklich, denn sie macht den leiblichen Vater gleichsam zu einem halben rechtlichen Vater, der nur Rechte, aber keine Pflichten hat. Ina Plettenberg plädiert deshalb für die Etablierung einer zweiten rechtlich vollwertigen Vaterschaft des leiblichen Vaters neben dem rechtlichen und sozialen Vater des Kindes. Erforderlich ist dabei stets, dass dies im Einzelfall mit dem Kindeswohl vereinbar ist. Eine solche doppelte rechtliche Vaterschaft ist von den verfassungsrechtlichen Vorgaben gedeckt und fügt sich einfachrechtlich komplikationslos in das geltende Familien- und Erbrecht ein, wie ein detaillierter Gesetzgebungsvorschlag der Verfasserin zeigt.

Book SynopsisThis book presents a critical analysis of the rules on the contents and effects of contracts included in the proposal for a Common European Sales Law (CESL). The European Commission published this proposal in October 2011 and then withdrew it in December 2014, notwithstanding the support the proposal had received from the European Parliament in February 2014. On 6 May 2015, in its Communication ‘A Digital Single Market Strategy for Europe’, the Commission expressed its intention to “make an amended legislative proposal (…) further harmonising the main rights and obligations of the parties to a sales contract”. The critical comments and suggestions contained in this book, to be understood as lessons to learn from the CESL, intend to help not only the Commission but also other national and supranational actors, both public and private (including courts, lawyers, stakeholders, contract parties, academics and students) in dealing with present and future European and national instruments in the field of contract law. The book is structured into two parts. The first part contains five essays exploring the origin, the ambitions and the possible future role of the CESL and its rules on the contents and effects of contracts. The second part contains specific comments to each of the model rules on the contents and effects of contracts laid down in Chapter 7 CESL (Art. 66-78). Together, the essays and comments in this volume contribute to answering the question of whether and to what extent rules such as those laid down in Art. 66-78 CESL could improve or worsen the position of consumers and businesses in comparison to the correspondent provisions of national contract law.
